The mortgagee has five remedies against the mortgagor: action on the mortgagor\u2019s personal to repay, appointment of a receiver, assertion of the mortgagee\u2019s right to possession, exercise of the mortgagee\u2019s power of sale and foreclosure.<\/p>\n<p>The question concerns the area of exercise of the mortgagee\u2019s power of sale, and Christine should \u201cact in good faith&#8221; and \u201ctake reasonable care to obtain true market value&#8221; when she is exercising her power to sale the Rainbow House (RH) for recovery of capital and interest&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn3\" class=\"essay_footnotecitation_link\" href=\"#ftn3\">3<\/a>]<\/span>&nbsp;.<\/p>\n<h2>Statutory Power of Sale Arise<\/h2>\n<p>The mortgage of the RH, as a legal charge, contained an express power of sale implied by deed&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn4\" class=\"essay_footnotecitation_link\" href=\"#ftn4\">4<\/a>]<\/span>&nbsp;. Christine, at any time after the date fixed for payment, she may sue for the recovery of the principal sum and any interest that may be due&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn5\" class=\"essay_footnotecitation_link\" href=\"#ftn5\">5<\/a>]<\/span>&nbsp;, based upon Andrew\u2019s promise to repay&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn6\" class=\"essay_footnotecitation_link\" href=\"#ftn6\">6<\/a>]<\/span>&nbsp;.<\/p>\n<p>Here the chance for Andrew to repay his secured loan to Christine is low as he was \u201cmade redundant from his job 10 months ago&#8221;. Christine is entitled to exercise her common law right to take possession without first obtaining a court order&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn7\" class=\"essay_footnotecitation_link\" href=\"#ftn7\">7<\/a>]<\/span>&nbsp;under the Law of Property Act 1925 (LPA 1925) s.101, and was not in breach of the \u201cright to peaceful enjoyment of property&#8221; under Art 1 Protocol 1 ECHR. However, Andrew may challenge Christine that she was exercising her power \u201cwithout a court order for possession&#8221; of \u201cresidential&#8221; property under the Mortgaged Repossessions (Protection of Tenants etc) Act 2010&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn8\" class=\"essay_footnotecitation_link\" href=\"#ftn8\">8<\/a>]<\/span>&nbsp;which enforced on 8 April 2010.<\/p>\n<p>The power arisen for the sale of the RH if Christine could satisfied all three conditions&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn9\" class=\"essay_footnotecitation_link\" href=\"#ftn9\">9<\/a>]<\/span>&nbsp;, (1) RH is a \u201cregistered freehold property&#8221; and created the legal mortgage by deed&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn10\" class=\"essay_footnotecitation_link\" href=\"#ftn10\">10<\/a>]<\/span>&nbsp;. (2) There is no indication that there have any contrary provisions&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn11\" class=\"essay_footnotecitation_link\" href=\"#ftn11\">11<\/a>]<\/span>&nbsp;which has the effect of precluding a power of sale in the default of Andrew&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn12\" class=\"essay_footnotecitation_link\" href=\"#ftn12\">12<\/a>]<\/span>&nbsp;. (3) The mortgage was established in June 2006 and the legal date for redemption was passed, and Andrew was \u201cfell into arrears with numerous repayments under the legal charge to Christine&#8221;. Since the question does not indicate the exact number of \u201cinstalments in arrears&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn13\" class=\"essay_footnotecitation_link\" href=\"#ftn13\">13<\/a>]<\/span>&nbsp;of Christine\u2019s mortgage, \u201cinstalments in arrears&#8221; is sufficient to satisfy \u201cmortgage money has become due&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn14\" class=\"essay_footnotecitation_link\" href=\"#ftn14\">14<\/a>]<\/span>&nbsp;. Apparently Christine\u2019s power of sale of the RH is arisen legally.<\/p>\n<h2>Statutory Power of Sale Exercisable<\/h2>\n<p>The power of sale would become exercisable when Christine satisfies either one of the conditions in LPA 1925 s.103. In the question, Andrew was \u201cfell into arrears with numerous repayments&#8221; which meant that at least three months of repayments has been due. This satisfies the requirement in LPA 1925 s.103(1) that the \u201cdefault has been made \u2026 for three months&#8221;. Christine\u2019s power of sale of the RH has become exercisable legally.<\/p>\n<p>Although there is no statutory duty of care for Christine to take specific precaution when exercising her power to sale the RH. There is a common law duty \u201cto act in good faith and owes the mortgagor a duty to take reasonable care to obtain a proper price.&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn15\" class=\"essay_footnotecitation_link\" href=\"#ftn15\">15<\/a>]<\/span>&nbsp;The court will intervene if \u201cfraud or bad faith&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn16\" class=\"essay_footnotecitation_link\" href=\"#ftn16\">16<\/a>]<\/span>&nbsp;is shown in the sales transaction of the RH.<\/p>\n<p>In determining whether Christine has to \u201cact in good faith&#8221; and take sufficient \u201creasonable care&#8221; in the sales of RH. We have to look at \u201cwhat steps&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn17\" class=\"essay_footnotecitation_link\" href=\"#ftn17\">17<\/a>]<\/span>&nbsp;Christine had taken to sell the RH and that \u201capproach would give the best price or not rather than purely look at what price obtained in the transaction&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn18\" class=\"essay_footnotecitation_link\" href=\"#ftn18\">18<\/a>]<\/span>&nbsp;. We can examine through the tests of (A) subjective duty \u2013 to act in good faith and (B) objective duty \u2013 to take reasonable care to obtain the \u201ctrue market price&#8221; at the time of sale; which was suggested by Salmon LJ in Cuckmere Brick v Mutual Finance&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn19\" class=\"essay_footnotecitation_link\" href=\"#ftn19\">19<\/a>]<\/span>&nbsp;, and was confirmed in Silven v Royal Bank of Scotland.<\/p>\n<h2>(A) subjective duty \u2013 to act in good faith<\/h2>\n<p>Normally Christine can give a \u201cgood title to the purchaser&#8221; free from the equity of redemption&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn20\" class=\"essay_footnotecitation_link\" href=\"#ftn20\">20<\/a>]<\/span>&nbsp;upon the power of sale has arisen&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn21\" class=\"essay_footnotecitation_link\" href=\"#ftn21\">21<\/a>]<\/span>&nbsp;. Although Christine didn\u2019t sell the RH to herself directly&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn22\" class=\"essay_footnotecitation_link\" href=\"#ftn22\">22<\/a>]<\/span>&nbsp;, but, there is a rule that the mortgagee cannot sell the mortgaged property to an associated person or entity&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn23\" class=\"essay_footnotecitation_link\" href=\"#ftn23\">23<\/a>]<\/span>&nbsp;.<\/p>\n<p>Here we assumed that Christine is a \u201cDirector&#8221; as described in the Companies Act 1983&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn24\" class=\"essay_footnotecitation_link\" href=\"#ftn24\">24<\/a>]<\/span>&nbsp;. Christine cannot sell the RH back to herself after it has taken possession regardless whether it is at market value or not&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn25\" class=\"essay_footnotecitation_link\" href=\"#ftn25\">25<\/a>]<\/span>&nbsp;. Christine is a \u201cDirector of the Phanton Builders Limited&#8221;, either directly or through an agent, this would not be a \u201cbona fide&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn26\" class=\"essay_footnotecitation_link\" href=\"#ftn26\">26<\/a>]<\/span>&nbsp;sale in this transaction. Her conveyance couldn\u2019t effective to vest in \u201cPhantom Builders Limited&#8221; of Andrew\u2019s full legal estate.<\/p>\n<p>Christine, therefore, cannot pass the \u201cgood title&#8221; to \u201cPhanton Builders Limited&#8221; unless she could prove that the sale of the RH was \u201can arm\u2019s-length transaction&#8221; and there was \u201cno conflict of interest&#8221; in the transaction stated by Privy Council in Tse Kwong Lam&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn27\" class=\"essay_footnotecitation_link\" href=\"#ftn27\">27<\/a>]<\/span>&nbsp;case. This was confirmed by the CA in Bradford &amp; Bingley plc v Ross&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn28\" class=\"essay_footnotecitation_link\" href=\"#ftn28\">28<\/a>]<\/span>&nbsp;.<\/p>\n<p>The sales transaction to \u201cPhanton Builders Limited&#8221; by Christine is deemed lack of good faith and dishonesty as sales price of the RH was at undervalue \u2013 \u201cthe price obtained was considerably less than for similar properties in the area&#8221;. Andrew and Dorothy could challenge&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn29\" class=\"essay_footnotecitation_link\" href=\"#ftn29\">29<\/a>]<\/span>&nbsp;Christine that she was acted in bad faith as she sold the RH to an \u201cassociated person or entity&#8221;.<\/p>\n<h2>(B) objective duty \u2013 to take reasonable care to obtain the \u201ctrue market price&#8221; at the time of sale<\/h2>\n<p>Christine must \u201cclearly in breach&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn30\" class=\"essay_footnotecitation_link\" href=\"#ftn30\">30<\/a>]<\/span>&nbsp;for the court to imposed a duty of care owed to Andrew and Dorothy \u2013 the subsequent mortgages&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn31\" class=\"essay_footnotecitation_link\" href=\"#ftn31\">31<\/a>]<\/span>&nbsp;.<\/p>\n<h2>(I) Method of Sale<\/h2>\n<p>Christine becomes a trustee&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn32\" class=\"essay_footnotecitation_link\" href=\"#ftn32\">32<\/a>]<\/span>&nbsp;for the proceeds of the sales of the RH but she is \u201cnot strictly a trustee&#8221; for Andrew in respect of the power of sale itself&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn33\" class=\"essay_footnotecitation_link\" href=\"#ftn33\">33<\/a>]<\/span>. She, although must \u201cact in good faith&#8221;, has no obligation to sell \u201cby auction or to advertise the [RH]&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn34\" class=\"essay_footnotecitation_link\" href=\"#ftn34\">34<\/a>]<\/span>. Therefore, Christine\u2019s motives in choosing to exercise her power to sale are irrelevant as she is entitled to protect her own interests and to give these interests priority over Andrew\u2019s and Dorothy\u2019s&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn35\" class=\"essay_footnotecitation_link\" href=\"#ftn35\">35<\/a>]<\/span>. However, she does \u201cowes a duty of care&#8221; to Andrew and Dorothy in relation to the sales of the RH&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn36\" class=\"essay_footnotecitation_link\" href=\"#ftn36\">36<\/a>]<\/span>.<\/p>\n<p>\u201cThe property was sold by auction&#8221; and Christine has the option of \u201celecting its remedies&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn37\" class=\"essay_footnotecitation_link\" href=\"#ftn37\">37<\/a>]<\/span>. She ought to be adequately and sufficiently advertised, and where an auction takes place it must be held in reasonable conditions&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn38\" class=\"essay_footnotecitation_link\" href=\"#ftn38\">38<\/a>]<\/span>, resulting \u201cvery few people attended&#8221;. Andrew\u2019s complaint is that once Christine decided to advertise the RH for sale, she had to give it adequate publicity in order to attract as many potential bidders as possible&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn39\" class=\"essay_footnotecitation_link\" href=\"#ftn39\">39<\/a>]<\/span>.<\/p>\n<p>In this case, the advertisement of the RH appeared only once in \u201cmiscellaneous items&#8221; of the local newspaper instead of in the property section with reference to Andrew\u2019s friend. The RH was inadequately advertised as compared with Tse Kwong Lam&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn40\" class=\"essay_footnotecitation_link\" href=\"#ftn40\">40<\/a>]<\/span>&nbsp;case which was placed in 3 newspapers and appeared on 3 occasions; it led the price obtained from the auction \u201cwas considerably less than for similar properties in the area&#8221;. Furthermore, there is no evidence of the detailed offers received from the advertisement.<\/p>\n<p>Perhaps Christine may not afford a reasonable number of advertisements placed in the newspaper, but she should at least advertise it in the proper section \u2013 property section to ensure it adequately captures the potential buyers. If RH had been given a wide publicity and seek advice on method of sale, the sale of the RH may raise more money.<\/p>\n<h2>(II) Duty to obtain \u201ctrue market price&#8221;<\/h2>\n<p>Christine has a statutory power&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn41\" class=\"essay_footnotecitation_link\" href=\"#ftn41\">41<\/a>]<\/span>&nbsp;to appoint Evita as she \u201cthinks fit&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn42\" class=\"essay_footnotecitation_link\" href=\"#ftn42\">42<\/a>]<\/span>&nbsp;to act as a \u201creceiver&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn43\" class=\"essay_footnotecitation_link\" href=\"#ftn43\">43<\/a>]<\/span>&nbsp;. Evita\u2019s function is to ensure the interest on the mortgage of the RH can be repaid&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn44\" class=\"essay_footnotecitation_link\" href=\"#ftn44\">44<\/a>]<\/span>&nbsp;. Christine and Evita didn\u2019t \u201cpursue a planning application for development of RH&#8221; as they have no obligation to \u201cobtaining planning application permission&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn45\" class=\"essay_footnotecitation_link\" href=\"#ftn45\">45<\/a>]<\/span>&nbsp;to obtain a better selling price.<\/p>\n<p>However, it is arguable that Evita didn\u2019t appoint a qualified surveyor to obtain a current market price of a similar property for reference. She didn\u2019t perform her duties to manage the due diligence of the RH properly&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn46\" class=\"essay_footnotecitation_link\" href=\"#ftn46\">46<\/a>]<\/span>&nbsp;to obtain \u201cthe best price reasonably&#8221; for the interest of the two mortgages. Christine will be liable for Evita\u2019s conduct as she instructed Evita \u201cto sell the property at the earliest opportunity&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn47\" class=\"essay_footnotecitation_link\" href=\"#ftn47\">47<\/a>]<\/span>&nbsp;which led \u201cthe price obtained was considerably less&#8221;. The sale obtained at less than the open market value raises and inference of lack of \u201cgood faith&#8221;.<\/p>\n<p>Christine failed to observe any required duty in exercising the sale of the RH and sold at a considerably low price, she \u201cowes a duty to take reasonable precautions to obtain the true market value on the date on which she decides to sell&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn48\" class=\"essay_footnotecitation_link\" href=\"#ftn48\">48<\/a>]<\/span>&nbsp;and \u201cdamages for the difference&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn49\" class=\"essay_footnotecitation_link\" href=\"#ftn49\">49<\/a>]<\/span>&nbsp;may be awarded&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn50\" class=\"essay_footnotecitation_link\" href=\"#ftn50\">50<\/a>]<\/span>&nbsp;to payable to Andrew.<\/p>\n<h2>(III) Time for Sale<\/h2>\n<p>Christine is at discretion to decide when to sell the RH&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn51\" class=\"essay_footnotecitation_link\" href=\"#ftn51\">51<\/a>]<\/span>&nbsp;. However, Lord Denning rejected and suggested that \u201cpart of the mortgagee\u2019s duty to take reasonable care may include the duty to choose an appropriate time for the sale&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn52\" class=\"essay_footnotecitation_link\" href=\"#ftn52\">52<\/a>]<\/span>&nbsp;. In Struggles v Lloyds&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn53\" class=\"essay_footnotecitation_link\" href=\"#ftn53\">53<\/a>]<\/span>&nbsp;suggested that the proper exposure (this case is 6-12 months) to the market for the property is required.<\/p>\n<p>Evita sold the RH \u201cat the earliest opportunity&#8221; deemed that Christine might want to sell the RH to \u201cPhantom Builders Limited&#8221; to sell to a \u201cconnected entity&#8221; intentionally and likely to resell the RH to obtain higher price in the subsequent sales. Her motives to recover the \u201csecured loan&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn54\" class=\"essay_footnotecitation_link\" href=\"#ftn54\">54<\/a>]<\/span>&nbsp;are questionable. It seemed that Christine acted \u201cwilfully and recklessly \u2026 with the sale of [RH] in such a manner that the interests of [Andrew is] sacrificed&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn55\" class=\"essay_footnotecitation_link\" href=\"#ftn55\">55<\/a>]<\/span>&nbsp;.<\/p>\n<p>Christine doesn\u2019t \u201ctake reasonable care to maximise her return from the RH\u2019&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn56\" class=\"essay_footnotecitation_link\" href=\"#ftn56\">56<\/a>]<\/span>&nbsp;and \u2018take steps to preserve its value\u2019&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn57\" class=\"essay_footnotecitation_link\" href=\"#ftn57\">57<\/a>]<\/span>&nbsp;of the RH which led to the sales price obtained was insufficient for Andrew to cover the two legal charges. There is sufficient \u201cproximity&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn58\" class=\"essay_footnotecitation_link\" href=\"#ftn58\">58<\/a>]<\/span>&nbsp;between Christine\u2019s failure to obtain better price of the RH and resulted Andrew suffered his indebtedness. Andrew has a valid ground to complaint Christine when she exercised her power of sales of the RH and may lead the court to set aside the sales.<\/p>\n<h2>Disposition of sale s.105<\/h2>\n<p>In the event of Andrew\u2019s default, Dorothy as an \u201cequitable mortgage&#8221; is qualified as subsequent \u201cincumbrances&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn59\" class=\"essay_footnotecitation_link\" href=\"#ftn59\">59<\/a>]<\/span>&nbsp;to receive the money owed to her. Christine is entitled to have first claim by \u201clegal mortgage&#8221;&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn60\" class=\"essay_footnotecitation_link\" href=\"#ftn60\">60<\/a>]<\/span>&nbsp;in the sale of the RH, and the money received is paid in order&nbsp;<span class=\"essay_footnotecitation\">[<a name=\"bodyftn61\" class=\"essay_footnotecitation_link\" href=\"#ftn61\">61<\/a>]<\/span>&nbsp;under LPA 1925 s.105 prior to Dorothy. However, Christine doesn\u2019t \u201cact in good faith&#8221; and sufficiently \u201ctake reasonable care to obtain true market value&#8221; in the sales of the RH. Christine may likely to \u201cdamages for the difference&#8221; first payable to Dorothy and if there has any remaining goes to Andrew.<\/p>\n<h2>Conclusion<\/h2>\n<p>Given Christine didn\u2019t act in good faith in the sales transaction of the RH as examined above. Andrew is eligible to have injunction from the court to reopen the sale of the RH.<\/p>\n<p>For Dorothy, she is eligible to equity of rescission to obtain the order to sale from the court with consent from Andrew.<\/p>\n<p>The drawback of the above suggestions would take longer time to realise the money, therefore, it would suggest to obtain the court order to claim for \u201cdamages for the difference&#8221; of true market value and the sales value of the RH by Christine to repaid Andrew\u2019s charge to Dorothy, and if there is any remaining goes to Andrew.<\/p>\n<p><!-- Content ends here --><\/p>\n","protected":false},"excerpt":{"rendered":"<p>In the event of the mortgagor\u2019s default, mortgagee has rights to protect and enforce his\/her security.
